Responsibilities:
Drafting, reviewing, and negotiating bond offering documents, indentures, debentures, offering memoranda, and related covenant packages.Providing legal guidance on Canadian securities law and SEC regulations governing bond issuances, capital-raising strategies, and covenant structuring.Collaborating with issuers, underwriters, internal finance teams, and external counsel on high-yield, investment-grade, and cross-border debt capital markets transactions.Managing securities law, disclosure, and covenant compliance issues for clients in corporate and financial institution sectors.Staying ahead of debt capital markets trends and regulatory developments under the Securities Act of 1933 to provide proactive, business-oriented counsel.
