Debt Capital Markets Counsel – Toronto
We are seeking a Debt Capital Markets Counsel to join our Corporate and Securities team. This role centers on bond issuances, capital‑raising transactions, and covenant structuring , with a focus on high‑yield and international debt offerings. We are looking for a hands‑on attorney with deep expertise in Canadian securities law and SEC regulations governing debt securities , including experience advising on credit ratings, debenture offerings, and complex financing structures . The ideal candidate will bring strong experience executing transactions under the Securities Act of 1933 , including high‑yield bonds, Rule 144A offerings, Eurobonds, and EMTN programs , along with robust transactional and regulatory capabilities across the debt capital markets lifecycle.
